MASTER SERVICES AGREEMENT

This Master Services Agreement (this "Agreement") is entered into as of March 14, 2026 between:

(1) Atlas Retail Inc., a Delaware corporation with offices at 90 Hudson St, New York, NY 10013 (the 'Client'); and
(2) Forge Studio LLC, a creative services firm with offices at 18 Westbourne Park Road, London W2 5PH (the 'Provider').

1. SERVICES. The Provider shall design and deliver the e-commerce rebrand described in Statement of Work #FS-2026-04 (the 'Services'), including brand strategy, visual identity, packaging and a Shopify storefront, by August 31, 2026.
2. FEES. In consideration for the Services, the Client shall pay the Provider a fixed fee of USD 84,000 payable in four equal instalments against agreed milestones.
3. INTELLECTUAL PROPERTY. Upon full payment, the Provider assigns to the Client all right, title and interest in the final deliverables, save for the Provider's pre-existing tools, methodologies and source files licensed back on a non-exclusive basis.
4. CONFIDENTIALITY. Each party shall keep the other's confidential information in strict confidence, and the obligations shall survive termination for three (3) years.
5. TERM AND TERMINATION. The term begins on the Effective Date and continues until the Services are accepted. Either party may terminate for material breach not cured within fourteen (14) days of written notice.
6. GOVERNING LAW. This Agreement is governed by the laws of the State of New York.
