FOUNDER IP ASSIGNMENT AND EMPLOYMENT AGREEMENT

This Agreement is made on March 14, 2026 between:

(A) Quantica Labs, Inc., a Delaware corporation with offices at 220 Valencia Street, San Francisco, CA 94103 (the 'Company'); and
(B) Lina O. Sato (the 'Founder').

1. EMPLOYMENT. The Company employs the Founder as Chief Executive Officer with effect from the Effective Date. The Founder shall devote her full business time and best efforts to the Company.
2. COMPENSATION. The Founder shall be paid a base salary of USD 96,000 per annum, paid semi-monthly, subject to annual review by the board.
3. EQUITY. The Founder's grant of 5,500,000 shares of common stock (representing 55% of the Company's fully diluted share capital) shall vest over four (4) years on a monthly basis, with a one (1) year cliff.
4. IP ASSIGNMENT. The Founder hereby irrevocably assigns to the Company, with full title guarantee, all right, title and interest in any and all inventions, code, designs, documentation and other works of authorship created by the Founder (whether alone or with others) at any time before or during the engagement that relate to the Company's business — including the 'Quantica' AI inference engine, the React client SDK, and all associated patents, copyrights and trade marks.
5. CONFIDENTIALITY. The Founder shall keep all Company confidential information in strict confidence during and after the engagement.
6. NON-SOLICITATION. For twelve (12) months after termination, the Founder shall not solicit any employee or customer of the Company.
7. GOVERNING LAW. This Agreement is governed by the laws of the State of California.
