Independent Contractor Agreement

INDEPENDENT CONTRACTOR AGREEMENT

This Agreement is made on March 14, 2026 between:

(A) Riverbend Software Inc., 500 Howard Street, San Francisco, CA 94105 (the 'Company'); and
(B) Ms. Amaka R. Daniels, a freelance software engineer (the 'Contractor').

1. ENGAGEMENT. The Company engages the Contractor to design and deliver the backend microservices for the 'Atlas' platform (the 'Services'), in accordance with the SOW attached as Exhibit A. The Contractor is an independent contractor and not an employee.
2. FEES. The Company shall pay the Contractor USD 120.00 per hour, invoiced bi-weekly, payable within 14 days.
3. TAXES AND BENEFITS. The Contractor is responsible for all federal, state and local taxes (including self-employment tax) and is not entitled to employee benefits.
4. INTELLECTUAL PROPERTY. The Contractor hereby assigns to the Company, with full title guarantee, all right, title and interest in the deliverables upon payment of the corresponding invoice.
5. CONFIDENTIALITY. The Contractor shall keep all Company information confidential during and after the engagement.
6. TERM AND TERMINATION. The engagement runs for six (6) months and may be terminated by either party on fourteen (14) days' written notice, or immediately for material breach.
7. GOVERNING LAW. This Agreement is governed by the laws of California.
