Re: Notice of Material Breach of Construction Agreement dated June 12, 2025
We refer to the Construction Agreement dated June 12, 2025 (the 'Agreement') between Northbridge Properties and Apex Build, under which Apex agreed to complete the structural works at the Riverside project by January 31, 2026.
As of the date of this notice, Apex remains in material breach of (i) Clause 4.2 (Schedule), the works being 42 days behind the contractual completion date; (ii) Clause 7.1 (Quality), 11 outstanding non-conformance reports remain unresolved; and (iii) Clause 11.3 (Insurance), no current certificate of insurance has been provided.
Pursuant to Clause 14.1 of the Agreement, Apex is hereby granted a cure period of fourteen (14) days from receipt of this notice to remedy the foregoing breaches. Failure to cure within that period will entitle Northbridge to terminate the Agreement, draw on the performance bond, and pursue all available remedies under Texas law, including damages and costs.
