ADVISOR AGREEMENT

This Advisor Agreement is made on March 14, 2026 between:

(A) Quantica Labs, Inc., a Delaware corporation (the 'Company'); and
(B) Dr. Henry W. Olusola (the 'Advisor').

1. SERVICES. The Advisor agrees to provide strategic advisory services to the Company in the areas of go-to-market, enterprise sales and recruitment of senior technical talent. The Advisor shall make himself reasonably available for monthly strategy calls and ad-hoc consultations.
2. TERM. The term of this Agreement is twenty-four (24) months from the Effective Date.
3. COMPENSATION. In consideration for the Services, the Company shall grant the Advisor a stock option to purchase 25,000 shares of common stock (representing approximately 0.25% of the Company's fully diluted share capital), vesting monthly over twenty-four (24) months with no cliff. Strike price is the fair market value on the date of grant.
4. IP & CONFIDENTIALITY. The Advisor assigns to the Company all IP created in the course of the Services and shall keep all Company information confidential.
5. INDEPENDENT CONTRACTOR. The Advisor is an independent contractor and is not entitled to employee benefits.
6. GOVERNING LAW. This Agreement is governed by the laws of the State of Delaware.
